To pass out from heavily drinking, it can also mean sleeping in general but usually refered to when passing out while drinking. (You're toe's are facing up when you pass out on your back is the origin)

It means someone is dead. It refers to how the person is found. toe up or toe down.
We thought he was sleeping, but after he laid there for 3 days we realized he was toe up.
